AYS Bylaws






The Auburn Youth Symphony is affiliated with the Auburn Civic Symphony Association and the Auburn Chamber of Commerce.

Article 1. Name
This organization is know as the Auburn Youth Symphony Board.

Article 2. Objectives
A. Philosophy Statement- The Auburn Youth Symphony was established in 1991 to provide a community orchestral program for youth.  The Auburn Civic Symphony Association, sensitive to the musical needs of the communities it serves, has drawn upon its unique resources in establishing the Auburn Youth Symphony Orchestra.  This orchestra will offer an enriched musical experience by creating a venue for students to explore and express their talents and abilities.

B. The nature of the organization shall be nonprofit, nonpartisan, and nonsectarian.  The Board shall operate with the objective set forth in these bylaws, and will function under the sponsorship of the Auburn Civic Symphony Association and Auburn Chamber of Commerce.

Article III – Membership

Section 1. Membership of this Auburn Youth Symphony Board shall not be limited.  Anyone who is interested in the progress and development of the Auburn Youth Symphony, and who is willing to uphold its policies and subscribe to its bylaws, may become a member in good standing.

Section 2. Registration – An annual membership registration shall be conduced each spring.  Additional members may be accepted at any time.  Membership year is July 1 to June 30 of the following year.

Section 3. Dues – Orchestra membership dues are regulated by the Auburn Symphony Board. For 2006-2007 a $200 per year membership fee is requested of each participant in the Youth Symphony.           Limited scholarships are available.

Section 4. Classes of Membership – Various classes of membership may be established by the Executive Directors.

Section 5. Meetings – Will be announced by Chairperson.  An annual meeting in June shall be for the purpose of electing members to the Executive Directors.  Regularly scheduled and/or special meetings of the board or Executive Directors shall be documented by minutes, and a copy provided to the board of directors of the Auburn Civic Symphony Association.

Section 6. Events and Activities – The Auburn Youth Symphony Board shall formally inform the board of directors of the Auburn Civic Symphony Association of all planned activities and events that could be construed to be under the authority of or a function of the association.

Section 7. Voting – Each member shall be entitled to one vote in an election, referendum, or membership meeting.

Section 8. Resignation – Any member may resign upon written notice or other appropriate notification to the Executive Directors.

Section 9. Delinquency and termination – If any member shall be considered delinquent, membership shall automatically be terminated, unless otherwise extended for good cause by the Executive Directors.

Section 10. Authority – Actions and activities of the Auburn Youth Symphony Board are limited to those specified in their bylaws and the policies of the board of directors of the Auburn Civic Symphony Association.  No action by the Auburn Youth Symphony Board or its officers or members shall be binding upon or constitute and expression of policy of the Auburn Civic Symphony ‘Association until it has been approved by the board of directors of the Auburn Civic Symphony Association.

Article IV. – Executive Directors

Section 1. Powers – The government and policy making responsibilities of the Auburn Youth Symphony Board shall be vested int eh Executive Directors which shall control its property, be responsible for its finances and direct its affairs, subject to the provisions of the California non-profit public benefit corporation laws, these bylaws and the laws of the State of California.

Section 2. Composition- The Executive Directors shall be composed of the Chairperson, the previous year’s Chairperson, the Business Manager, the Secretary/Treasurer and such Assistant Chairpersons, Business Manager, Secretary/Treasurer as the Executive Directors appoint.

Section 3. Eligibility – Any member of the Auburn Youth Symphony Board in good standing shall be eligible for nomination to the executive directors.

Section 4. Term – Elected Executive Directors shall serve a one- year term.

Section 5. Expulsion – Any Executive Director may be expelled by a ¾ vote of the executive Directors at any meeting convened to consider expulsion of a member for activity, which would undermine the objectives, or reputation of the Auburn Youth Symphony Board.  The director in question shall receive notice and an opportunity for a hearing before the Executive Directors.

Section 6. Vacancies – The executive directors may appoint an eligible member to fill a vacancy for an unexpired term.

Section 7.  Attendance – Attendance at all meetings is a requirement of being an Executive Director.  If absent from three consecutive meetings without valid excuse in the opinion of the Executive Directors, such absence shall be construed as a resignation.

Section 8. Meetings – The Auburn Youth Symphony Board and/or Executive Directors shall meet at the call of the Chairperson regularly scheduled and/or special meetings of the board or Executive Directors shall be documented by minutes, and a copy provided to the board of directors of the Auburn Civic Symphony Association.

Section 9. Quorum – Five voting members of the board or three voting members of the Executive Directors shall constitute a quorum.

Section 10. Nomination and Election of Executive Directors
A. A nominating committee of three Executive Directors shall recommend a slate of candidates at the meeting in June.  It shall be the duty of the nominating committee to interview each of the candidates and secure their pledge to serve faithfully if elected.
B. Nominations are open March 1st.
C. Candidates may be nominated by the Nominating Committee or any Auburn Youth Symphony board member.
D. The Nominating Committee shall present a slate of officers at the Auburn Youth Symphony board meeting in June.  Additional nominations may be accepted from the floor.


Section 11. Non-Liability – Executive Directors and the Auburn Youth Symphony board members shall not be personally liable for debts, liabilities or other obligations of the Auburn Youth Symphony.
Section 12. Compensation – Board members and Executive Directors shall serve without compensation.

Article V. Officers

Section 1. Eligibility – Any person serving on the board shall be eligible to serve as an officer.

Section 2. Officers an Election – The Chairperson, Business Manager and Secretary/Treasurer shall be elected by the board.  These officers serve as the Executive Directors.

Section 3. Term – The term of office shall be one year – from July 1 through June 30, 0r until a successor is elected.  Not officer may serve more that two consecutive one-year terms.

Section 4. Duties – A chairperson shall:
1. serve as executive hear of the board and the Executive Directors, and shall preside at all meetings.
2. have such other powers as may be prescribed by the Executive Directors or the bylaws, and shall be an ex-officio member of all subcommittees.
3. have general supervision, direction and control of the business and affairs of the board and Executive Directors, and shall have general duties of management usually vested in the office of the president

B. Business Manager – Shall
1. arrange for rehearsal and performance spaces for the Auburn Youth Symphony.
2. receive from parents and deliver to the Secretary/Treasurer the requested fees each semester.
3. present to the Executive Directors all requests for funding pertinent to the function of the Auburn Youth Symphony.

C. Secretary Treasurer shall –
1. maintain an accurate record of the proceedings of board and Executive Board meetings.
2. conduct the correspondence, preserve documents and communications and update bylaws as amended.
3. be directly concerned with the fiscal operation of the Auburn Youth Symphony, and be responsible for the collection, safekeeping and disbursement of all funds.
4. keep an accurate and timely financial report, and present it at the final board meeting ending each school semester.
5. Assist in preparation and submission of the annual budget.

D. Past Chairperson: 
1. the immediate past Chairperson shall serve as a member of the Executive Directors.

E. Music Conductor shall:
1. be a funded position appointed annually by the Auburn Youth Symphony Board.
2. be responsible for the training and artistic direction of the Youth Symphony.

Article VI: - Finances

Section 1. A proposed budget shall be prepared by the Secretary/Treasurer with the assistance of the Business Manager showing the estimated income and expenses for the coming fiscal year.  The Proposed budget will be presented to the Auburn Youth Symphony Board for final approval.  This budget will be prepared in April.

Article VII: - Amendments

Section 1. These bylaws may be amended or altered by a two-thirds vote of those members present at any regular or special meeting of the membership of the Auburn Youth Symphony Board, provided that notice of the purpose of such meeting and a copy of all proposed amendments or alterations of the bylaws shall have been mailed to each member not less than ten days prior to such meeting.

Article VIII. – Dissolution

Section 1. In the event that the Auburn Youth Symphony is dissolved, the assets will become the property of the Auburn Civic Symphony Association, to be used by the Auburn Civic Symphony when a need arises or a new Youth Symphony is formed.  No part of said assets shall inure to the benefit or be distributed to any member or officer.
